1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer," or "User") and LSA Escale ("LSA Escale," "we," "us," or "our"), governing your access to and use of the LSA Escale platform at https://lsaescale.com and related services (the "Service"). By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you are entering into these Terms on behalf of a company or agency, you represent that you have authority to bind that organization.
2. Definitions
- Service: the LSA Escale SaaS platform for managing Google Local Services Ads (LSA) leads, calls, AI feedback, ratings, reports, exports, and multiple accounts.
- Account: the personal, non-transferable record you create to access the Service.
- Plan: the package of features and usage limits you subscribe to.
- Customer Data: data you submit to or process through the Service, including Google Ads/LSA lead data and end-consumer information.
3. Eligibility and registration
- The Service is a business-to-business product intended for users 18 or older acting in a business capacity.
- You agree that the information you provide at sign-up is accurate and that you will keep it current.
- You are responsible for safeguarding your credentials and for all activity under your Account, and for staying within your Plan's limits.
- You represent that you hold the necessary authorizations to connect any Google Ads account to the Service.
4. Subscriptions, billing, and cancellation
- Plan prices are listed in US dollars at /pricing and may change with reasonable advance notice.
- Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) until cancelled. - You may cancel at any time through the billing portal; cancellation stops future renewals. Fees already paid are non-refundable except where required by law.
- You are responsible for any applicable taxes other than taxes on our net income.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or infringing purposes;
- Reverse engineer, decompile, or attempt to access the source code;
- Overload, interfere with, or attempt to circumvent security mechanisms;
- Access or collect data about other users without authorization;
- Share credentials with, or grant Service access to, unauthorized third parties.
6. Customer Data and the public intake form
You retain all rights to your Customer Data. You grant us a limited license to host and process Customer Data solely to provide and improve the Service. Where the Service offers a public intake form (at /f/:token) to collect information from prospects:
- You act as the business / controller of the personal information you collect and are responsible for providing required notices and obtaining any consent.
- LSA Escale acts as your service provider under the California Consumer Privacy Act, as amended by the CPRA, and processes that information only on your documented instructions and as described in our Privacy Policy.
- You are responsible for compliance with applicable US privacy laws and for honoring consumer rights requests; we will reasonably assist you. [[A separate Data Processing Addendum should be executed where required.]]
7. Call recording, transcription, and AI feedback
The Service may process call data and use automated/AI tools to transcribe calls and generate lead feedback and ratings. You are solely responsible for the legality of recording, transcribing, and analyzing calls, including providing any required notices and obtaining any required consent from all parties.

You must determine and meet the requirements of every applicable jurisdiction. 8. Intellectual property
All rights in the Service, including the platform, brand, source code, layout, and content, belong to LSA Escale. We grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription term.
9. Service availability; disclaimer of warranties
We aim for high availability but do not guarantee uninterrupted or error-free operation; maintenance, updates, or events beyond our control may cause interruptions. Except as expressly stated, the Service is provided "as is" and "as available," and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
- We are not liable for business decisions you make based on information shown by the Service.
- To the maximum extent permitted by law, our total aggregate liability for any claim is limited to the amount you actually paid for the Service in the twelve (12) months before the event giving rise to the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunities.
11. Indemnification
You agree to indemnify and hold LSA Escale harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, your call-recording practices, or your violation of these Terms or applicable law.
12. Suspension and termination
We may suspend or terminate Accounts that violate these Terms, with prior notice when practicable. You may terminate your Account at any time through the billing portal or by contacting Support.
13. Changes to these Terms
We may update these Terms. Each new version is identified by the version label above, and prior versions are preserved. For material changes we will provide notice and may require renewed acceptance at your next sign-in.
14. Governing law and dispute resolution
These Terms are governed by the laws of [[the State of ____ , USA]], without regard to its conflict-of-laws rules. 15. Electronic acceptance
You consent to transact electronically. Your acceptance (via checkbox at sign-up or on a re-acceptance screen) is binding and, under the federal ESIGN Act and applicable state UETA, has the same legal effect as a handwritten signature. We record acceptance, including date, IP address, and the version accepted.
